These Terms of Service ("Terms") govern access to and use of the B2B software-as-a-service platform and related services offered by Expertluma Ltd ("Expertluma", "we", "us") to business customers. By using our services, you agree to these Terms on behalf of your organisation.
1. The service
Expertluma provides a cloud-based platform for structured data workflows, including data annotation, AI training data pipelines, quality assurance, and workforce coordination for data tasks. Features and service levels are as described in your order form, online plan description, or other written agreement ("Order").
2. No financial services
Expertluma is not a bank, broker, lender, payment institution, or cryptocurrency business. We do not provide regulated financial services. Fees relate solely to SaaS access and agreed usage (for example, data processing and task execution).
3. Customer responsibilities
You are responsible for:
- The accuracy and legality of data you submit and instructions you provide.
- Obtaining rights and consents required for your use cases, including compliance with applicable privacy, employment, and sector-specific laws.
- Maintaining the security of credentials and promptly notifying us of unauthorised access.
4. Acceptable use
You must not:
- Use the services in violation of applicable law or third-party rights.
- Attempt to probe, scan, or test the vulnerability of our systems without authorisation.
- Reverse engineer, circumvent technical limits, or misuse the platform to harm others or our infrastructure.
5. Fees and payment
Fees are as set out in the Order. Unless otherwise agreed, subscription fees are billed in advance and usage-based fees in arrears according to measurement defined in the Order. Taxes may apply. Late payment may result in suspension after reasonable notice where permitted by contract and law.
6. Intellectual property
Expertluma retains all rights in the platform, software, and branding. Subject to payment and these Terms, we grant you a non-exclusive, non-transferable right to use the services during the subscription term. You retain rights in your customer content; you grant us a licence to host, process, and display it solely to provide the services.
7. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only for the purposes of the agreement.
8. Warranties and disclaimer
The services are provided "as is" to the maximum extent permitted by law. Except as expressly stated in an Order, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-assisted features are tools to support human review; you remain responsible for validating outputs for your use case.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or data. Our aggregate liability arising out of the services in any twelve-month period is limited to the fees paid by you for the services in that period, except where liability cannot be limited by law (including death or personal injury caused by negligence, fraud, or wilful misconduct).
10. Term and termination
The subscription term and renewal terms are set out in the Order. Either party may terminate for material breach if the breach is not cured within a reasonable period after written notice. Upon termination, we will follow the data return or deletion provisions in the Order or applicable data processing terms.
11. Changes to these Terms
We may update these Terms for legal, security, or operational reasons. We will provide notice as appropriate. Continued use after the effective date may constitute acceptance where permitted by law.
12. Governing law
These Terms are governed by the laws of England and Wales, subject to mandatory consumer protections that may apply to individuals (this service is intended for business customers). Courts of England and Wales have exclusive jurisdiction, unless otherwise required by law.
